Work Timelines

The project or work timelines provided by Codify Software Solutions Pvt. Ltd. are contingent upon your full cooperation and the provision of complete and final content, including photography for the work pages. To ensure the smooth progress of your project, we require timely and adequate feedback from you during the development process.

Work Variations

Codify Software Solutions Pvt. Ltd. is pleased to offer you the opportunity to make changes to the requirements or proposals. However, we reserve the right to limit the number of changes to a reasonable amount and may charge for additional changes if they exceed the original requirements specification. Any major deviations from the original requirements specification will incur additional charges as per the variations.

Content

You are required to provide all content and information necessary for us to complete the work as per the agreed specifications. This includes, but is not limited to, photographs, written copy, logos, and other printed material. Any delay in supplying these materials, resulting in a delay in the completion of work, gives us the right to extend previously agreed deadlines by a reasonable amount. Additionally, if any content provided by you violates copyright rules as specified in The Copyright (Amendment) Act, 2012, we reserve the right to remove such content from the website without prior notice.

Intellectual Property Rights

You are responsible for obtaining all necessary permissions and authorities for the use of all copy, graphic images, registered company logos, names, trademarks, or any other material that you provide to us for inclusion in your website or web applications. You agree to indemnify us and hold us harmless from any claims or legal actions arising from the content of your website.

Cross-Browser Compatibility

We strive to ensure that the websites we create are compatible with all current modern web browsers, including the latest versions of Internet Explorer, Firefox, Google Chrome, and Safari. However, please note that third-party extensions, if used, may not have the same level of support across all browsers. In cases where compatibility issues arise, we will endeavor to substitute alternative extensions or implement other solutions on a best-effort basis.

Search Engine Optimization

We do not guarantee any specific position in search engine results for your website. Our services include basic search engine optimization according to current best practices.

Fees

A 25% deposit of the total fee outlined in our proposal is due immediately upon your instruction for us to proceed with our services. The remaining 75% is payable upon completion of the work to your reasonable satisfaction. Please note that we reserve the right to delay the commencement of any work until the deposit has been paid in full. Additionally, the 25% deposit is non-refundable, as it covers the costs of booking domain and hosting services through third-party providers on your behalf.

Payment

Codify Software Solutions Pvt. Ltd. will invoice you for the remaining 75% balance of the project after the one-week review period has concluded.

Work Approval

Codify Software Solutions Pvt. Ltd. will notify you upon the completion of the work or project and provide you with an opportunity to review it. You will have a one-week window to review the work. Any work that has not been reported in writing to us as unsatisfactory within this one-week review period will be deemed approved. Once approved, or deemed approved, the work cannot subsequently be rejected, the contract will be considered completed, and the remaining 75% balance of the project price will become due. If you reject any of our work within the one-week review period and do not approve subsequent work performed by us, and if we, acting reasonably, consider your rejection to be unreasonable, we reserve the right to treat this contract as terminated and take measures to recover payment for the completed work.

Licensing

Once you have paid us in full for our work, we grant you a license to use the application and its related contents for the life of the application, provided that regular renewal of the subscription is completed on or before the expiry of the term.

Additional Expenses

You agree to reimburse us for any requested expenses that are not included in our proposal, including but not limited to the purchase of templates, third-party software, stock photographs, fonts, domain name registration, web hosting, or similar expenses.

Consequential Loss

We shall not be liable for any loss or damage that you may suffer, which is in any way attributable to any delay in the performance or completion of our contract, regardless of the cause of such delay.

Subcontracting

We reserve the right to subcontract any services that we have agreed to perform for you as we deem appropriate.

E-Commerce Plan

You are responsible for complying with all relevant laws relating to e-commerce. To the fullest extent permitted by law, you agree to hold harmless, protect, defend, and indemnify Codify Software Solutions Pvt. Ltd. and its subcontractors from any claim, penalty, tax, tariff, loss, or damage arising from your or your clients’ use of Internet electronic commerce.

Hosting Limitations

Codify Software Solutions Pvt. Ltd. does not offer refunds or pro-rated refunds once the site is hosted and operational due to the nature of our industry and the costs involved with provisioning and maintaining your service. Shared hosting packages are designed to host personal or small business websites and email services. If a project or application requires higher hosting or server resources, we may upgrade the hosting package or plan without prior notice to ensure the project can be completed. However, we reserve the right to discontinue the hosting or server if the customer refuses to pay the additional hosting charges. If the customer wishes to host the application on their own server or any third-party server, we will provide a complete backup of the project. Additional charges may apply for deploying or installing the backup on any self-owned client server or third-party server.

Domain Names and Web Hosting Ownership

We will book the domain name on your behalf. If at any point you decide to transfer your domain or hosting to another service provider, we will facilitate the transfer in a reasonable time frame. Our transfer process is automated, fast, and risk-free, ensuring a smooth transition. This means that moving your domain or hosting files to another service provider occurs mostly in the background, allowing you to focus on your next big project. Please note that the transfer process will only occur if you have no outstanding dues.

Backups

You are responsible for maintaining your own backups of your website. We will not be liable for restoring any client data or client websites except in cases where the data loss is due to our negligent act or omission.

Disclaimer

To the full extent permitted by law, all terms, conditions, warranties, undertakings, inducements, or representations whether express, implied, statutory, or otherwise relating in any way to the services we provide to you are excluded. Without limiting the above, to the extent permitted by law, any liability of Codify Software Solutions Pvt. Ltd. under any term, condition, warranty, or representation that by law cannot be excluded is, where permitted by law, limited at our option to the replacement, re-repair, or re-supply of the services or the payment of the cost of the services that we were contracted to perform.

Governing Law

These Terms and Conditions will be governed by and construed in accordance with the laws of the city of Nashik, Maharashtra, India, without reference to its choice of law rules. By accessing, viewing, or using the material on the Service, you consent to the jurisdiction of the governmental and provincial courts presiding in Nashik, Maharashtra, India, and agree to accept service of process by mail. You hereby waive any and all jurisdictional and venue defenses otherwise available. This service is controlled and operated by Codify Software Solutions Pvt. Ltd. from its office in India. Codify Software Solutions Pvt. Ltd. makes no representation that materials in the service are appropriate or available for use in other locations, and access to them from territories where their contents are illegal is prohibited. Those who choose to access this service from other locations do so of their own volition and are responsible for compliance with applicable local laws.

Orders placed prior to the update of these terms will also be subject to the new Terms and Conditions. Work Delivery Policy

Codify Software Solutions Pvt. Ltd., nor any resources involved in the development, creation, production, or delivery, will be responsible for any indirect or incidental damages related to the services provided.

Codify Software Solutions Pvt. Ltd. strictly prohibits any type of hacking, denial of service, distributed denial of service (DDoS) attacks, sniffing, spoofing, password cracking, or similar malicious activities to be performed on or by its services. Codify Software Solutions Pvt. Ltd. reserves the right to determine what constitutes any of these activities. You acknowledge that engaging in any of these activities will result in immediate termination of services without a refund. Codify Software Solutions Pvt. Ltd. may involve law enforcement authorities if deemed necessary.

If Codify Software Solutions Pvt. Ltd. discovers child pornography on any services provided to you, your account will be immediately terminated without refund. Your personal details will be disclosed to law enforcement authorities, and we will fully cooperate with authorities worldwide to pursue charges against you.

Codify Software Solutions Pvt. Ltd. strictly prohibits the use of its services for illegal purposes, including but not limited to spam, unsolicited commercial email, warez hosting, piracy, and hacking-related activities. Codify Software Solutions Pvt. Ltd. reserves the right to determine what constitutes any of these activities. You acknowledge that engaging in any of these activities will result in immediate termination of services without a refund. Codify Software Solutions Pvt. Ltd. may involve law enforcement authorities if deemed necessary.

Upon purchasing source code from Codify Software Solutions Pvt. Ltd., it is assumed that you possess coding knowledge. Therefore, Codify Software Solutions Pvt. Ltd. bears no responsibility for any issues arising after the sale.

Codify Software Solutions Pvt. Ltd. will not be responsible for any misuse of codes obtained through its services.

Codify Software Solutions Pvt. Ltd. will not be responsible for any illegal use of codes obtained through its services.

After delivering the code, Codify Software Solutions Pvt. Ltd. has no control over the sold code.

If the purchaser needs any modifications, they can make them on their own. Codify Software Solutions Pvt. Ltd. may also perform the modifications for an additional charge, which will be determined upon discussion between the parties.

If Codify Software Solutions Pvt. Ltd. makes any updates in the future, it may contact and send you those updates. However, Codify Software Solutions Pvt. Ltd. cannot promise that updates will be available.

All products are thoroughly tested. However, if you find any bugs in the existing code, Codify Software Solutions Pvt. Ltd. may check and correct them at your request. It is not always mandatory for Codify Software Solutions Pvt. Ltd. to correct the error, as it may also occur due to actions taken by the purchaser.
